Terms of Service

1. Who this agreement is with
These Terms of Service ("Terms") are an agreement between you, acting on behalf of the business you register ("you," "your business"), and Acloe Technology Ventures ("Acloe," "we," "us"), the company behind Tally. By creating a Tally account, setting up a business, or using Tally on any device, you agree to these Terms.
2. What Tally is
Tally is point-of-sale software that runs on Windows, macOS, Linux, iOS, and Android. It lets a business record sales, manage stock, track staff, and issue digital receipts across cash, mobile money, card, bank transfer, and credit payments, with data synced in real time across every branch. Some functionality works offline and syncs once a connection is available.
3. Your account and business
You sign in with a phone number, verified by a one-time code. The person who creates a business is its owner and can invite other staff — managers, clerks, or accountants — each with their own login and their own level of access. You're responsible for what happens under your business's account, including actions taken by staff you invite, and for keeping your account credentials and device PIN to yourself.
You're responsible for the accuracy of the information you enter into Tally — product prices, stock counts, customer balances, and everything else a business records through the app.
4. Subscription and billing
Tally is billed monthly, with no setup fee. Plans differ by device count, branch count, and how many receipt notifications (SMS/WhatsApp) are included per billing cycle; current pricing is on our pricing page.
If a payment isn't received on time, your business gets a 14-day grace period. During that window, everything keeps working exactly as before — selling, syncing, reporting, all of it. If payment still hasn't been made after the grace period, your business can no longer start new sales until it's resolved, but your data is never touched, deleted, or held hostage over a late payment. Anything already recorded stays exactly where it was.
You can cancel at any time. Cancelling stops future billing; it doesn't entitle you to a refund for the current billing period unless we say otherwise in writing.
5. Your data belongs to your business
Everything you record in Tally — products, sales, customers, suppliers, staff — is your business's data. We process it to provide the service to you; we don't claim ownership of it, and we don't sell it. See our Privacy Policy for how we collect, use, and protect it.
6. Acceptable use
You agree not to:
- Use Tally for anything illegal, fraudulent, or that violates another party's rights.
- Use the receipt-sending feature to send messages unrelated to an actual sale, or in a way that's abusive to the recipient.
- Attempt to reverse-engineer, decompile, or tamper with the app or its security features, including device attestation and local PIN lock.
- Interfere with the service's operation or attempt to access another business's data without authorization.
We can suspend or terminate an account that violates these Terms, with notice where reasonably possible.
7. Receipts and notifications
Every sale can generate a digital receipt, viewable at a unique link on receipts.acloe.com, and optionally delivered to a customer by SMS or WhatsApp. Sending a receipt this way consumes one of your plan's included receipt credits; viewing or downloading an already-issued receipt does not.
8. Service availability
We aim to keep Tally reliably available, but we don't guarantee uninterrupted or error-free service. Tally is provided "as is" — to the extent permitted by law, we disclaim warranties beyond what we've stated in these Terms.
9. Limitation of liability
To the extent permitted by law, Acloe's total liability arising from your use of Tally is limited to the amount your business paid us in the three months before the claim arose. We're not liable for indirect or consequential losses, including lost profits or lost sales data resulting from your own misuse of the app.
10. Changes to these Terms
We may update these Terms as Tally changes. If we make a material change, we'll let account owners know before it takes effect. Continuing to use Tally after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of Ghana.
